Please read these Terms and Conditions ("Terms") carefully before accessing or using any services, products, or information provided by MEiQ ("MEiQ", "we", "us", or "our") through this website (www.meiqmb.com) or any related platform, API, or product (collectively, the "Services").
By accessing or using any part of our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must cease using our Services immediately.
1. About MEiQ
MEiQ operates as a financial intelligence, data analytics, and payments infrastructure platform. We provide data-driven tools, analytics products, and payments technology to institutional and business clients. MEiQ is not a bank, investment adviser, broker-dealer, or licensed financial planner. Nothing on this website or within our Services constitutes financial, investment, tax, legal, or regulatory advice.
Details of any applicable regulatory authorisations held by MEiQ or its affiliates will be disclosed in your separate commercial agreement. Where MEiQ acts through a regulated entity or licensed partner, that entity will be identified in the relevant product documentation or agreement.
2. Eligibility & Access
Our Services are intended solely for business clients, institutional users, and professional counterparties. By using our Services you represent and warrant that:
- You are at least 18 years of age;
- You are acting on behalf of a legal entity duly incorporated and in good standing;
- You have the authority to bind that entity to these Terms;
- Your access and use of the Services is lawful in your jurisdiction;
- You are not located in, or acting on behalf of a person or entity located in, a jurisdiction subject to comprehensive sanctions by the United Nations, United Kingdom, European Union, or United States of America.
MEiQ reserves the right to refuse, suspend, or terminate access to the Services at any time, without notice, at its sole discretion.
3. Not Financial or Investment Advice
All data, analytics, predictions, signals, scores, insights, and content provided through MEiQ's Services are provided for informational and operational purposes only. They do not constitute, and must not be construed as:
- A recommendation to buy, sell, or hold any financial instrument or asset;
- Investment advice within the meaning of the Financial Services and Markets Act 2000 (UK), MiFID II (EU), or any equivalent legislation;
- A solicitation or offer to provide regulated investment services;
- A guarantee of future performance, accuracy, or results.
Any predictive analytics, AI-generated signals, or model outputs reflect historical patterns and statistical inference only. Past model performance is not indicative of future results. You remain solely responsible for all decisions made in reliance on MEiQ data or outputs.
4. Permitted Use
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
- Reproduce, redistribute, or resell MEiQ data, outputs, or content without prior written consent;
- Attempt to reverse engineer, decompile, or extract source code from any MEiQ product or API;
- Use automated scraping, crawling, or data extraction tools against our Services without authorisation;
- Introduce malware, viruses, or any other harmful code into our systems;
- Circumvent or attempt to circumvent any security, authentication, or access control measures implemented by MEiQ;
- Use the Services to facilitate fraud, money laundering, terrorist financing, market manipulation, or any other criminal activity.
5. Intellectual Property
All content, data, software, algorithms, models, trademarks, logos, and materials available through our Services are the exclusive property of MEiQ or its licensors and are protected by applicable intellectual property laws.
Nothing in these Terms transfers any intellectual property rights to you. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business purposes, subject to these Terms and any applicable commercial agreement.
You retain ownership of any data you submit to MEiQ. By submitting data, you grant MEiQ a limited licence to process such data solely to provide the Services to you, in accordance with our Privacy Policy.
6. Data Accuracy & No Warranty
MEiQ makes reasonable efforts to ensure the accuracy, completeness, and timeliness of data and outputs provided through its Services. However:
- All Services are provided on an "as is" and "as available" basis, without any representation or warranty of any kind, express or implied;
- MEiQ does not warrant that the Services will be uninterrupted, error-free, or free from inaccuracies, viruses, or other harmful components;
- MEiQ does not warrant the accuracy, completeness, fitness for purpose, or reliability of any data, signal, prediction, or analytical output;
- To the fullest extent permitted by applicable law, all implied warranties — including warranties of merchantability, fitness for a particular purpose, and non-infringement — are expressly excluded.
7. Limitation of Liability
Aggregate Liability Cap
To the fullest extent permitted by applicable law, MEiQ's total aggregate liability to you — whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise — in respect of all claims arising out of or in connection with these Terms or the Services shall not exceed the greater of:
- The total fees actually paid by you to MEiQ in the three (3) calendar months immediately preceding the event giving rise to the claim; or
- £500 (five hundred pounds sterling), whichever is greater.
Exclusion of Consequential Loss
To the fullest extent permitted by law, MEiQ shall not be liable — whether in contract, tort, statute, or otherwise — for any of the following, even if MEiQ has been advised of the possibility of such losses:
- Loss of profits, revenue, or anticipated savings;
- Loss of business, contracts, or opportunities;
- Loss of goodwill or reputation;
- Loss or corruption of data or information;
- Any indirect, special, incidental, consequential, or punitive damages;
- Any losses arising from reliance on AI-generated data, predictive analytics outputs, market intelligence signals, or model predictions provided through the Services;
- Any losses arising from third-party service failures, including data providers, cloud infrastructure, or payment network outages.
Exceptions
Nothing in these Terms excludes or limits MEiQ's liability for:
- Death or personal injury caused by MEiQ's negligence;
- Fraud or fraudulent misrepresentation;
- Any other liability that cannot be excluded or limited under applicable law.
8. Indemnification
You agree to indemnify, defend, and hold harmless MEiQ and its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms;
- Your use or misuse of the Services;
- Your violation of any applicable law, regulation, or third-party right;
- Any data, content, or instructions you submit to MEiQ.
9. Third-Party Services & Links
Our Services may reference, integrate with, or link to third-party services, data providers, or websites. MEiQ is not responsible for the content, accuracy, availability, privacy practices, or security of any third-party service. The inclusion of any third-party link or integration does not constitute an endorsement or recommendation by MEiQ.
Your use of third-party services is governed solely by the terms and privacy policies of those third parties. MEiQ expressly disclaims all liability arising from your use of or reliance on any third-party service.
10. Availability & Service Modifications
MEiQ does not guarantee that the Services will be available at all times. We may suspend, withdraw, or restrict access to all or part of the Services for operational, technical, or commercial reasons without notice. MEiQ shall have no liability for any unavailability of the Services.
MEiQ reserves the right to modify, discontinue, or introduce new features, products, or Services at any time. We will endeavour to provide reasonable notice of material changes where practicable.
11. Confidentiality
Each party may have access to information that is confidential to the other ("Confidential Information"). Each party agrees to keep the other's Confidential Information strictly confidential and not to disclose it to any third party without prior written consent, except as required by law or regulation, or to professional advisers bound by duties of confidentiality. These obligations survive termination of these Terms.
12. Privacy & Data Protection
Your use of the Services is subject to our Privacy Policy, which explains how we collect, process, and protect your personal data. By using the Services, you acknowledge and agree to the terms of our Privacy Policy.
Where MEiQ processes personal data on your behalf as a data processor, the parties will enter into a Data Processing Agreement (DPA) as required by applicable data protection legislation, including UK GDPR and EU GDPR.
13. Termination
Either party may terminate these Terms with written notice. MEiQ may terminate or suspend your access to the Services immediately, without notice or liability, if you breach these Terms or if required to do so by law or regulation.
On termination: your right to use the Services ceases immediately; clauses that by their nature should survive (including Sections 5, 6, 7, 8, 11, 14, and 15) shall continue in full force.
14. Governing Law & Jurisdiction
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of England and Wales.
Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, except where MEiQ elects to seek injunctive or other equitable relief in any competent jurisdiction to protect its intellectual property rights.
15. General
Entire Agreement. These Terms, together with any applicable commercial agreement, DPA, and the Privacy Policy, constitute the entire agreement between you and MEiQ with respect to the Services, and supersede all prior agreements, representations, and understandings.
Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver. No failure or delay by MEiQ in exercising any right under these Terms shall constitute a waiver of that right.
Assignment. You may not assign or transfer any rights or obligations under these Terms without MEiQ's prior written consent. MEiQ may assign these Terms or any rights hereunder without restriction.
Notices. Legal notices to MEiQ should be sent by email to legal@meiqmb.com or to our registered address. MEiQ may provide notices to you via your registered email address or by posting an updated version of these Terms on this website.
Updates to These Terms. MEiQ may update these Terms from time to time. Material changes will be notified via the website or email. Continued use of the Services following notification of any change constitutes your acceptance of the revised Terms. The "Last updated" date at the top of this page indicates when these Terms were last revised.
